1. Acceptance of Terms
By accessing or using the TripFlow platform, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you may not access or use the Service. These Terms of Use apply to all users, including drivers, dispatchers, administrators, and any other individuals authorized by a subscribing Non-Emergency Medical Transportation (NEMT) provider ("Customer").
2. Description of Service
TripFlow provides a cloud-based software platform and mobile application designed for NEMT providers. The Service includes trip management, routing, dispatching, real-time tracking, compliance reporting, and related tools. The Service is provided on a subscription basis to Customers, who may authorize individual users to access the platform.
3. User Accounts and Access
- Account Creation: User accounts are provisioned by the Customer or its authorized administrators. You are responsible for maintaining the confidentiality of your login credentials.
- Authorized Use: You may only use the Service for legitimate NEMT business operations as authorized by your employer. Sharing login credentials or allowing unauthorized individuals to access your account is prohibited.
- Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms or at the direction of the Customer.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable local, state, or federal law.
- Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use the Service to transmit any malicious code, viruses, or harmful content.
- Copy, modify, distribute, or create derivative works based on the Service without prior written consent.
5. Protected Health Information (PHI)
The Service processes PHI in the course of facilitating NEMT trips. All users must handle PHI in accordance with HIPAA regulations and the policies established by their employer. You may not access, disclose, or use PHI for any purpose other than fulfilling your assigned job duties. Unauthorized access to or disclosure of PHI is a violation of these Terms and may result in immediate account termination and legal action.
6. Location Tracking
The mobile application collects precise location data while a user is marked "On Duty." By using the application, you consent to this location tracking during active duty periods. Location data is used for trip verification, compliance, and route optimization. You may disable location tracking by marking yourself "Off Duty" in the application.
7. TripFlow Security Messages
The TripFlow Security Messages program sends transactional authentication and account-security text messages, including one-time passcodes, two-factor authentication codes, login or new-device verification, password-reset codes, and security alerts. It does not send marketing or promotional messages. By affirmatively selecting SMS authentication or requesting a security code after receiving the SMS disclosure, you consent to receive these messages from TripFlow at the number provided. Consent to receive SMS messages is not a condition of purchasing TripFlow services.
- Frequency: Message frequency varies based on your account activity and authentication requests.
- Charges: Message and data rates may apply.
- Opt Out: Reply STOP to opt out of messages from the sending number. Opting out may prevent you from using SMS authentication, and you may need to select another available authentication method.
- Help: Reply HELP for help or contact support@tripflownemt.com.
- Carrier Disclaimer: Wireless carriers are not liable for delayed or undelivered messages.
- Privacy: Our handling of mobile information and messaging consent is described in our Privacy Policy.
8. Customer Messaging Programs
A subscribing NEMT provider may use TripFlow to send its own operational notifications only after completing applicable 10DLC brand and campaign registration and associating its own sending number with an approved campaign. The provider, not TripFlow, is the sender and sponsor of that messaging program and is responsible for its messages, recipient consent, required disclosures, opt-out and help requests, privacy notice, terms, and compliance with applicable law and carrier requirements. Providers may not use TripFlow to send marketing or promotional text messages.
9. Intellectual Property
The Service, including all software, content, design, trademarks, and documentation, is the exclusive property of TripFlow, Inc. and is protected by applicable intellectual property laws. Your use of the Service does not grant you any ownership rights. All rights not expressly granted in these Terms are reserved by TripFlow, Inc.
10. Service Availability and Modifications
- Availability: We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance and unforeseen outages may occur.
- Modifications: We reserve the right to modify, update, or discontinue any feature of the Service at any time. Material changes that affect Customer workflows will be communicated in advance where practicable.
11. Limitation of Liability
To the maximum extent permitted by applicable law, TripFlow, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability shall not exceed the fees paid by the Customer in the twelve (12) months preceding the claim.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TripFlow does not warrant that the Service will be error-free or that any defects will be corrected.
13. Indemnification
You agree to indemnify and hold harmless TripFlow, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or related to your violation of these Terms or your misuse of the Service.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in Minneapolis, Minnesota.
15. Changes to These Terms
We may revise these Terms of Use from time to time. Updated terms will be posted on this page with a revised effective date. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will provide notice through the application or via email where required.
